Please read this disclaimer carefully. It explains the important limits of what we do, and it applies to your use of our website and services.
1. Essential Counsel is not a law firm
This is the most important thing to understand: Essential Counsel is NOT a law firm. We do NOT provide legal representation, appear in court on your behalf, or offer legal advice as that term is defined under UK regulations governing the practice of law. We are NOT regulated by the Solicitors Regulation Authority (SRA), the Bar Standards Board (BSB), or any legal regulatory body.
2. What we actually do
Essential Counsel is a strategic advisory and operations firm. We help businesses navigate complex governance challenges, coordinate crisis response, prevent disputes, and build sustainable compliance frameworks. Our services include strategic advisory on governance and risk, crisis coordination and investigations support, dispute prevention and resolution strategy, legal-operations and governance support, compliance frameworks and policy development, and contract-management and operational support. We provide strategic thinking and operational support, not legal advice.
3. Who provides legal advice
When formal legal advice or representation is required, we work alongside your chosen legal representatives; we do NOT replace them. Legal advice, court representation, legal professional privilege, and reserved legal activities under the Legal Services Act 2007 must come from qualified, regulated solicitors or barristers. Where your situation requires these, we will work with your legal representatives or help you find the right ones.
4. No solicitor–client relationship or privilege
Nothing on our Website, in our initial conversations, or in our preliminary assessments creates a solicitor–client relationship or legal professional privilege. Communications with us are NOT privileged, may be disclosable if compelled by law, and could be discoverable in legal proceedings. If privilege is critical, we work alongside your solicitors, who create and maintain it.
5. When a client relationship exists
A formal client relationship with Essential Counsel only exists when we have both signed a written engagement agreement, agreed the scope of services, fees and terms, conducted appropriate conflict checks, and you have confirmed your understanding that we are NOT a law firm. Until then, you are NOT our client and we have no formal obligations to you beyond professional courtesy. Whilst we treat preliminary discussions with professional discretion, formal confidentiality protections only apply once an engagement agreement is signed.
6. No guarantees
We bring deep experience, strategic insight and operational excellence to every engagement, but we cannot and do NOT guarantee specific outcomes or results, success in disputes, investigations or regulatory matters, particular business, financial or legal consequences, or the prevention of all risks. Business situations are influenced by many factors beyond anyone’s control.
7. Website information is not advice
Information on our Website is provided for general information only and is current as at its publication date. It is NOT legal advice or a substitute for professional advice, is NOT comprehensive, and may not reflect the most current laws or regulations. Before making decisions, verify current requirements and seek appropriate professional guidance for your specific circumstances.
8. Limitation of liability
Nothing in this disclaimer excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under English law. Subject to that, and to the fullest extent permitted by law, Essential Counsel is NOT liable for any indirect, consequential, special or punitive damages arising from your use of our services or reliance on information provided, decisions made based on our guidance or analysis, the outcomes of any dispute, investigation or matter we are involved in, or third-party actions or decisions. Our liability under any engagement is limited as set out in our engagement agreement.
9. Complaints
If you are unhappy with our services, contact us first. If the matter is unresolved, email our Complaints Officer at complaints@e-counsel.io with the subject “Formal Complaint”. We will acknowledge within 5 business days and respond fully within 28 days, with progress updates every 14 days for complex matters.
10. Governing law
